Every offshore company is required to have a registered address and its registered address must be the principal address of a trust company in Labuan.[1] Notification must be made to the Registrar of the location of its registered address within one month after incorporation.[2] ![]() Do remember that the registered address is provided merely to enable the Registrar or a third party to send notices or service of process but the registered address is not given as the main business address. The following must be kept at the registered address:
i) the register of shareholders containing the names and addresses of the shareholders, the number of shares held, the amount paid on each share, the date when a shareholder was first entered on the share register and the date when the shares were registered in his name; ii) a register of directors and secretaries which must contain certain prescribed details such as names, addresses, occupations and dates of taking up and ceasing to hold office.
The offshore company’s name must be displayed at the registered office. If a change of registered address has taken place, a notice must be lodged with the Registrar within one month of the change.[3] |
